1. AGREEMENT TO TERMS
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SHFT LLC ("SHFT," "we," "us," or "our") concerning your access to and use of the ReflectEQ product, including the physical NFC card and associated mobile application and services (collectively, the "Service"). By purchasing ReflectEQ, creating an account, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. ELIGIBILITY
You must be at least 18 years of age to purchase or use ReflectEQ. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

3. PRODUCT DESCRIPTION
ReflectEQ is an emotional intelligence development tool consisting of a physical NFC-enabled card that delivers personalized daily emotional awareness prompts, access to the ReflectEQ mobile application, and access to brittAlgo, our proprietary personalization algorithm.ReflectEQ is designed to support emotional awareness and naming skills. It is an educational and self-improvement tool, not a medical device, diagnostic tool, or therapeutic service.

4. PURCHASE AND PAYMENT
4.1 Pricing - Current pricing for ReflectEQ is $45 USD, which includes the physical NFC card and access to the ReflectEQ application. Prices are subject to change at our discretion.4.2 Payment Processing - All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your complete payment card information.4.3 Order Confirmation - Upon successful payment, you will receive an order confirmation via email. This confirmation does not signify our acceptance of your order; acceptance occurs when we ship your ReflectEQ card.4.4 Taxes - You are responsible for any applicable sales tax, use tax, value-added tax (VAT), or other taxes or duties.

5. SHIPPING AND DELIVERY
5.1 Shipping Schedule - Orders are processed and shipped according to our published schedule. Current estimated shipping date is February 7, 2026, subject to change.5.2 Shipping Locations - We currently ship within the United States. International shipping availability will be announced separately.5.3 Delivery Risk - Risk of loss and title for items purchased pass to you upon delivery to the shipping carrier. We are not responsible for lost, stolen, or damaged packages once tracking shows delivery.5.4 Undeliverable Packages - If your package is returned to us as undeliverable due to an incorrect address provided by you, you will be responsible for additional shipping charges for re-delivery.

6. RETURNS AND REFUNDS
6.1 Physical Product Returns - You may return your unopened ReflectEQ card within 30 days of delivery for a full refund, minus shipping costs. To initiate a return, contact us at info@shftexperience.com with your order number.6.2 Opened Products - Due to the personal nature of the product and NFC card pairing, opened ReflectEQ cards are non-refundable except in cases of manufacturing defects.6.3 Defective Products - If your ReflectEQ card is defective or damaged upon arrival, contact us within 14 days of delivery for a replacement or refund.6.4 Digital Service Refunds - Access to the ReflectEQ application and brittAlgo service is included with the purchase of the physical card and is non-refundable separately.6.5 Refund Processing - Approved refunds will be processed within 10 business days and credited to your original payment method.

7. ACCOUNT REGISTRATION AND SECURITY
7.1 Account Creation - To use the ReflectEQ application, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.7.2 Account Security - You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.7.3 Account Termination - We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

8. ACCEPTABLE USE
8.1 Permitted Use - You may use ReflectEQ solely for personal, non-commercial purposes to develop your emotional intelligence and self-awareness.8.2 Prohibited Conduct - You agree not to: use the Service for any unlawful purpose or in violation of any applicable laws; attempt to reverse engineer, decompile, or disassemble any portion of the Service; interfere with or disrupt the Service or servers or networks connected to the Service; use any automated system, including "robots," "spiders," or "offline readers," to access the Service; attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks; share, sell, or transfer your ReflectEQ card or account to another person; use the Service to transmit any harmful code, viruses, or malicious software; impersonate any person or entity or misrepresent your affiliation with any person or entity; or harass, abuse, or harm another person through the Service.

9. DATA COLLECTION AND BRITTALGO
9.1 Data Collection - ReflectEQ collects data to provide personalized emotional awareness prompts through brittAlgo. This includes your ratings and responses to prompts, tap frequency and timing patterns, engagement metrics and usage patterns, and device information and technical data.9.2 brittAlgo Personalization - brittAlgo is our proprietary algorithm to infer patterns from your observable behaviors. The algorithm analyzes your interactions with ReflectEQ to deliver increasingly personalized prompts over time.9.3 Data Usage - We use your data to personalize your ReflectEQ experience, improve the Service and brittAlgo algorithm, conduct research and analytics (in aggregated, anonymized form), and communicate with you about the Service.9.4 Privacy - For detailed information about how we collect, use, and protect your data, please review our Privacy Policy at shftexperience.com/privacy.

10. NOT MEDICAL OR THERAPEUTIC ADVICE
10.1 Educational Tool Only - ReflectEQ is designed as an educational tool for emotional awareness and personal development. It is NOT a medical device or diagnostic tool, a substitute for professional mental health treatment, therapy, counseling, or psychological services, or a tool for diagnosing, treating, curing, or preventing any medical or mental health condition.10.2 No Professional Relationship - Use of ReflectEQ does not create a therapist-patient, doctor-patient, or any other professional healthcare relationship between you and SHFT LLC.10.3 Seek Professional Help - If you are experiencing mental health symptoms, crisis, or emergency, immediately contact Emergency services (911 in the US), National Suicide Prevention Lifeline (988), Crisis Text Line (Text HOME to 741741), or a qualified mental health professional.10.4 Algorithm Limitations - brittAlgo provides personalized prompts based on behavioral patterns. It does not diagnose emotional states, predict mental health conditions, or provide medical insights. Any inferences are computational patterns, not clinical assessments.

11. INTELLECTUAL PROPERTY RIGHTS
11.1 Our Property - The Service, including all content, features, and functionality, is owned by SHFT LLC and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes but is not limited to the ReflectEQ brand, name, and logo; brittAlgo algorithm and associated technology; application design, code, and user interface; and prompts, questions, and content delivered through the Service.11.2 Your Data - You retain ownership of any personal data, ratings, and responses you provide through the Service. By using the Service, you grant us a limited, worldwide, non-exclusive license to use, process, and analyze your data as described in these Terms and our Privacy Policy.11.3 Feedback - If you provide us with feedback, suggestions, or ideas about ReflectEQ, you grant us the right to use such feedback without any obligation to you.11.4 Restrictions - You may not copy, modify, or create derivative works of the Service; sell, resell, license, sublicense, or commercialize the Service; remove or alter any copyright, trademark, or other proprietary notices; or use our intellectual property without express written permission.

12. THIRD-PARTY SERVICES
The Service may contain links to or integrate with third-party websites, services, or resources. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

13. DISCLAIMERS
13.1 "AS IS" Basis - THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.13.2 No Guarantees - We do not warrant that the Service will be uninterrupted, secure, or error-free; any errors or defects will be corrected; the Service will meet your specific requirements or expectations; the results obtained from using the Service will be accurate or reliable; or that brittAlgo will improve your emotional intelligence or produce specific outcomes.13.3 Technical Issues - We do not guarantee that the Service will be compatible with all devices, operating systems, or NFC readers.

14. LIMITATION OF LIABILITY
14.1 Limitation of Damages - TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHFT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.14.2 Maximum Liability - OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR REFLECTEQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.14.3 Exceptions - Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SHFT LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use or misuse of the Service, your violation of these Terms, your violation of any rights of another person or entity, or your violation of any applicable laws or regulations.

16. MODIFICATIONS TO SERVICE AND TERMS
16.1 Service Changes - We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you.16.2 Term Changes - We may revise these Terms from time to time. The "Last Updated" date at the top will reflect the most recent version. Continued use of the Service after changes constitutes acceptance of the revised Terms.16.3 Material Changes - For material changes that significantly affect your rights, we will provide notice via email or through the Service at least 30 days before the changes take effect.

17. TERMINATION1
7.1 By You - You may stop using the Service at any time. Deleting the app or discontinuing use of your ReflectEQ card constitutes termination of your use.17.2 By Us - We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.17.3 Effect of Termination - Upon termination, your right to use the Service will immediately cease; we may delete your account and data in accordance with our data retention policies; and any provisions of these Terms that by their nature should survive termination will survive.

18. DISPUTE RESOLUTION
18.1 Informal Resolution - Before filing any formal legal action, you agree to contact us at info@shftexperience.com to attempt to resolve any dispute informally.18.2 Governing Law - These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.18.3 Arbitration - Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.18.4 Class Action Waiver - You agree to resolve disputes with us on an individual basis only, and not as part of any class, consolidated, or representative action.18.5 Exceptions - Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19. GENERAL PROVISIONS
19.1 Entire Agreement - These Terms, together with our Privacy Policy, constitute the entire agreement between you and SHFT LLC regarding the Service and supersede all prior agreements and understandings.19.2 Severability - If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.19.3 Waiver - Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.19.4 Assignment - You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.19.5 Force Majeure - We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or internet service failures.19.6 Export Compliance - You agree to comply with all applicable export and import control laws and regulations in your use of the Service.19.7 Electronic Communications - By using the Service, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. These communications may include notices about your account and information concerning the Service.

BY PURCHASING REFLECTEQ, CREATING AN ACCOUNT, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.This is a legal document. Please read it carefully. If you do not agree to these terms, do not purchase or use ReflectEQ.
